An investor consortium led by Affinius Capital, in partnership with Vista Hill Partners (co-led by Jonathan Kushner of Kushner Real Estate Group), agreed to acquire Northeast-focused multifamily REIT Veris Residential in a $3.4 billion all-cash transaction at $19.00 per share - a 23.2% premium to the unaffected share price. Financing includes a $2.08 billion committed senior secured bridge loan arranged by Goldman Sachs as lead underwriter, with UBS as co-arranger. The deal, approved unanimously by the Veris board, caps the company's multi-year pivot from New Jersey's largest office landlord to a pure-play Class A multifamily REIT. Closing is expected in Q2 2026, subject to shareholder and regulatory approval.
